A focused advisory practice for the mid-market
K3 Deal Advisory is the corporate finance and deal advisory practice of K3 Advisory Group Limited, one of the UK's leading advisory firms. We work with founders, owner-managers and management teams across the full transaction lifecycle — from initial exit planning through to completion and beyond.
Our practice is built around a straightforward proposition: senior adviser involvement at every stage, an honest assessment of options, and a process designed to maximise value rather than simply to generate a transaction.
What we do
Our core disciplines span the natural arc of a mid-market transaction:
Sell-side advisory — We run structured sale processes for businesses where founders or shareholders are looking to achieve a full or partial exit. This includes private equity and trade buyer processes, MBO structuring and, where appropriate, secondary buyouts.
Pre-sale preparation — Many of the businesses we work with engage us twelve to twenty-four months before they want to come to market. Time spent addressing the issues that buyers will identify — management dependency, contract quality, working capital structure — consistently produces better outcomes than going to market cold.
M&A strategy — For businesses with an acquisitive agenda, we provide commercial and structural advice on target assessment, deal structuring and integration planning.
Capital advisory — Raising debt or equity to support growth, restructure a balance sheet or provide shareholder liquidity is a distinct discipline. Our capital advisory team works with lenders and investors across the UK mid-market.
Who we work with
Our typical clients are businesses generating between £5m and £100m in revenue, often owner-managed or backed by a first institutional investor. We are sector-agnostic, with particular depth in business services, technology-enabled services, healthcare and manufacturing.
We work best with management teams who have a clear sense of where they want to get to and want an adviser who will give them a frank assessment of whether their current position supports that ambition — and what would need to change if it does not.
Getting in touch
If you are considering a transaction in the next one to three years — or would simply like an honest conversation about what your business might be worth and how to maximise it — we are happy to have that conversation at any stage.

The State of UK Mid-Market M&A: Mid-2026
Activity in the UK mid-market has recovered from the caution of 2024 and early 2025. Private equity remains active at the smaller end, strategic buyers are returning, and debt markets are more accessible than they were twelve months ago.
Sell-Side Readiness: A Practical Checklist for Founders
Most of the issues that cause transactions to fail, retrade or complete below expectations are identifiable — and addressable — before a process starts. This checklist covers the eight areas buyers focus on most.
Where lender appetite actually sits right now
Bank and credit fund appetite in the UK mid-market has shifted materially over the past eighteen months. This is a practical read on which sectors lenders are pricing keenly, where they are pulling back, and what borrowers should do before approaching the market.
